BAMKO acquires distributor Guardian Products


BAMKO, Los Angeles, today announced that it has acquired substantially all of the assets of Guardian Products, the Norcross, Georgia-based distributor, effective May 1, 2022.

Guardian, which ranked 64th on Print+Promo Marketing’s Top Distributors 2021 list, specializes in the car dealership market. BAMKO said the acquisition completes its December 2021 acquisition of Sutter’s Mill Specialties, which also specializes in this market.

Jake Himelstein, chairman of BAMKO, called the decision an “integrated” acquisition over the purchase of Sutter’s Mill, combining Guardian’s strong sales network and customer base with extensive in-house decorating and production capabilities. of Sutter’s Mill. Together, the two companies will enable BAMKO to provide full service to the car dealership market.

“The acquisition of Guardian is a perfect fit for our expanding business,” Himelstein said in a press release. “Our December acquisition of Sutter’s Mill and its production and decorating capabilities created a unique synergistic opportunity that we were eager to seize. With the addition of Guardian, we can further leverage Sutter’s Mill infrastructure to immediately become the dominant player in the auto dealership space. We see this as a tremendous opportunity for growth and expect significant sales opportunities to result from our unique ability to provide consistent solutions to existing and future Guardian customers.

Guardian published 2020 revenue of just under $20 million and year-over-year revenue of $23 million. Himelstein said the company’s culture was just as important as its finances when it came to making this decision.

“If we’re not completely confident in the cultural fit between companies, we won’t explore the conversation further,” he told Promo Marketing. “That part needs to work very well and we won’t consider a deal if it doesn’t. The Wise family has developed a wonderful family culture at Guardian and we intend to protect and enhance it. “

BAMKO has been active in the area of ​​mergers and acquisitions for the past year or so. Along with acquisitions of Guardian Products and Sutter’s Mill, the company entered into a strategic partnership with Carder and Associates in February and acquired Gifts By Design in early 2021.

“We’re not looking to do a ton of deals, but we’re eager to get the bargains,” Josh White, BAMKO’s senior vice president of strategic growth, told Promo Marketing. “It was the right deal. This had a unique feature in that the acquisition of Guardian made Sutter’s Mill a better deal for us, and the acquisition of Sutter’s Mill made Guardian a better choice for We were therefore eager to capture the unique synergies that the acquisition of these two very complementary businesses had to offer.”
